These Terms of Use (“Terms of Use“), including the Privacy Policy (“Privacy Policy”) which is an integral part thereof, (altogether, the “Terms“), apply to those who use or attempt to use the Website (each a “User“) and each User undertakes to comply with them. By reviewing, accessing or otherwise using the Website, each User indicates that he/she/it has read and understood the Terms and has given his/her/its consent to the provisions thereof. If you do not agree to all or part of the Terms of Use you should not make any use of the Website and/or the services. You are therefore advised to carefully and thoroughly read these Terms of Use prior to browsing the and/or using the Website.

Use of the Website Content (as defined below), or part thereof, will also be made possible through Facebook and Linkedin social networks, and the Terms of Use will also be fully applicable to any use of Energix’s profiles on these social networks and it will be included wherever the word “Website” is stipulated in the Terms of Use. For the avoidance of doubt, it is clarified that the use of Energix’s profile  is likely to be subject to the terms of the social networks sites, as such may be applicable from time to time, including the Terms of Use, Privacy Policy and any other obligating agreement incorporated in these websites.

Terms used in plural is also meant for the individual and vice versa. When a sentence contains the term “including” it should be interpreted as including among others.

Any additional Terms of Use on the Website are considered as including what is stated in the Terms of Use. However, where there is a contradiction and/or discrepancy between the language of the Terms of Use and what is stated elsewhere on the Website and/or elsewhere on behalf of Energix, the Terms of Use must be regarded as binding on Energix, and except in cases that are on other sources on the Website and/or elsewhere on behalf of Energix reserves the right to change the Terms of Use from time to time, without prior notice and by its sole decision. Any such change will take effect immediately upon publication on the Website within the framework of the Terms of Use. Users are required to keep up to date with changes from time to time.

1. Some definitions we use

In these Terms the following terms will have the meaning next to them:

• “Content” – any content, data, information, input of any kind, including any verbal, visual, audio, audio-visual content, including text, image, sound, video, in any media and any end device, which exist today and/or will exist in the future and/or any combination thereof including articles, news, reviews, data, files, advices, analyses, recommendations, guidelines, presentations, evaluations and any information and/or other content in any format, as well as their design, processing, editing, distribution and presentation, including (but not limited to): any image, photograph, illustration, animation, diagram, figure, simulation, sample, video, audio file and a musical file; any software, file, computer code, application, format, protocol, database and interface and any character, symbol and icon.
• “Economic Content” – Content concerning economic topics (such as the Content on the “About” and/or “Solar” and/or “Wind” and/or “Us” and/or “Esg” and/or “Investors” pages), a description of projects and acquisitions and buildings Solar PV related to Energix, including information on the capital markets (e.g. The Content on the “About” and/or “Wind” and/or the “ESG” and/or “Investors” pages), the prices of securities traded on the Tel Aviv Stock Exchange and the Israeli shares traded abroad, aggregate data on public and private companies, financial reports and others news in the economic field.
• “Website Content” – Content accessible through the Website, including Economic Content, Commercial Content and third parties’ content if accessible through the Website .

2. Termination of Service/Use. – Energix reserves the right, not to allow a person and/or company to use the Website, whether such use has been approved in the past or not, without the need for explanation and/or reasoning and/or prior notice. Without prejudice to the aforesaid generality, any injury and/or attempt to harm the Website and/or its content and/or Energix and/or its property, etc., will constitute a ground for removing the offender and/or the User from the ability to use the Website and/or Website content.
3. Additional Terms. Energix reserves the right to offer additional and/or various services and/or products on the Website. Energix reserves the right to terminate any of the services and/or products currently available on the Website. It is clarified that terms for any service and/or product available on the Website (now or in the future), may be subject to additional and/or other terms (“Additional Terms“). Unless otherwise stated in the Additional Terms, the Additional Terms shall be deemed an integral part of the Terms and shall not derogate therefrom.
4. Use of the Website
   • Each User may use the Website and the Content therein in an acceptable manner, in good faith, in accordance with the Terms and in accordance with any applicable law.
   • The Terms apply to the Website and the Content available therein in which ever form and/or medium these are used, communicated and/or accessed.
   • The Website is for informative and illustrative purposes and should not be relied upon for making any business or other decisions.
   • The Website, the Content, appearance, design, and the services and/or products contained therein, are the sole property of Energix and/or its licensors.
   • Energix reserves the right, to change at any time, and for any period (temporary or permanent), the Website, the Content, and/or any service and/or products made available therein , including by adding, subtracting, terminating or limiting, changing the structure of the Website, the scope, and availability of the information and service offered on it and any other aspect involved in the Website, service, and operation, without any need for prior notice or reasoning, and for any purpose. It is clarified that the User or a third party will not have any claim and/or demand against Energix (directly or indirectly) in respect of the aforesaid.
   • Energix does not warrant that the Website and its content are or will be safe to use, accurate, complete, without glitches or interruptions, or free from viruses, errors, defects, computer worms, other harmful components, or other software restrictions. In addition, Energix does not guarantee that it will correct any errors, glitches, or defects on the Website and its content and/or that the use of the Website and its content will meet the User’s expectations.
5. User Statements
   • The User of the Website and/or its content and/or services declares and undertakes that he is over the age of 18, that any use of the Website will be made lawfully, in accordance with the provisions of the Terms and that he does not breach the rights of others and/or any law.
   • Each User specifically represents and warrants that he does not rely on the Website and/or the Content; Including not (a) in order to trade any securities, bonds, products and/or services, etc., of Energix and/or of another entity; (b) to buy land, properties, solar PV and/or any kind, wind turbines, etc., of any type. The User declares he has been informed that nothing on the Website or in the Content is intended to constitute as recommendation, consultation (financial or other) or endorsement. Information pertaining to the Company is made available in the Company’s Financial Statements, and nothing on the Website and/or in the Content shall prejudice such Financial Statements and/or other publications made available by the Company according to applicable law.
   • Each User uses the Website and the Content at its own responsibility and risk.
6. Content Uses
   • In the Website Users may find a variety of Content, including content regarding Energix’s activities, financial reports, investment policies, presentations, protocols of various committees, news, media, photos, headlines, quotes, information on multiple companies, data comparisons, analysts, financial data, past or future plans of Energix and/or another company, business overview, information regarding officers of Energix, jobs offer, offering products or services, shareholders general meeting, payroll reports and more.
   • The Content originates from Energix and other service providers. Although efforts are made to centralize and process the Content, it is possible that certain errors may have occurred and the Content shall be inaccurate or incomplete. Each User is responsible for checking, examining, and verifying the Content and its accuracy and validity.
   • The Content does not constitute a recommendation, opinion, professional, legal, financial and/or other advice, nor shall it be deemed as consultation for investments. The use of the Content (if made) is made at the User’s sole responsibility and risk.
   • In addition to the restrictions outlined in the Terms, with respect to Content (especially Economic Content) which originates from the stock exchange in Israel and/or other jurisdictions, User is advised that such Content is also subject to the terms dictated by each stock exchange(s) and the relevant securities authority.
   • The User declares and undertakes that regarding all prohibited use by these regulations as aforesaid, Energix, its employees, holders, shareholders, and workers on its behalf and/or in cooperation with it (together with Energix – “Energix Entities”), will be exempt from any claim, damage, cost and/or liability in connection with the above.
   • User may not use the Website and any of the Content except as provided herein. The User may not copy, partially copy, link, duplicate, change the content design or otherwise allow any third party to use or view the Website and/or any of the Content or allow others to use, including by making any links available in other websites, electronic publications, applications, printed publications.
   • No computer software and/or application or any other means, which may harm and/or may do any of the aforesaid (such as Crawlers, Bots, etc.), may be introduced, activated, made available or a runed in connection with the Website. To search, scan, copy or automatically retrieve content from the Website, User may not create a compilation, collection, or repository that will contain Content. Content from the Website must not be displayed or framed in any manner. Content may not be displayed in any way – including through any software, device, accessory, or communication protocol – that changes the Website’s design or deprives it of any content, mainly Commercial Content.
7. Website Availability. Without derogating from the above, Energix will not be responsible for delays and/or disruptions and/or technical malfunctions outside Energix reasonable control, such as failures relating to the Internet service providers, hosting service providers, electricity providers and other force majeure events or events occurring due to the negligence of third parties.
8. Intellectual Property
   • As between Energix and the Users all rights, titles and interests in and to the Website, and Content provided therein, including any domain names, patents, trademarks, trade names, the designs (of the Website and any of the Content), copyrights, trade secrets, methods, text, software, images, music and video, graphics and sound, shall be solely owned by Energix. The aforesaid may be protected by copyright and other intellectual property legislation and international treaties and agreements and/or used with the express authority of the owner of the copyright and/or trademarks. Any violation of the Terms may result in infringement of copyright, trademarks, or other intellectual property rights, which will expose the infringer to civil lawsuits and/or criminal proceedings
   • Copying, distributing, broadcasting, publishing, linking, performing a reverse engineering procedure, duplicating, issuing a license, creating derivative works or selling any part of the Website and/or the content of the Website and/or making any other change to this Website or any of the Content without Energix’s express prior written permission is strictly prohibited. Any other right except for the User’s right to view the Website and the Content therein subject to the terms is specifically reserved.
   • The User is granted a personal, limited license to view, subject to the Terms, the Website and the Content therein, for its non-commercial purposes (other than to engage Energix). This license is personal and may not be sublicensed, transferred or assigned to any other person or entity. For the avoidance of doubt, the terms do not confer on the User a right in Energix’s intellectual property, but only a limited right of use and can be revoked as aforesaid. No provision of the Terms constitutes a waiver of Energix’s intellectual property under any law.
9. Warranty
   • Energix makes no warranty of any kind, ‎explicit ‎or implied, including, without limitation, any implied warranty regarding ‎the ‎accuracy, merchantability, up-to-date, non-infringement, ‎‎reliability, operability, error free, or fitness for a particular purpose, and/or ‎‎availability of the Website or the Content. Energix further makes no warranty of any kind, express or ‎‎implied with regard to the Website functionality. Energix does ‎not provide you ‎with any representations, warranties about the Website, the Content, the use thereof.
   • Each User assumes full, exclusive and sole responsibility for the use of and reliance on the Website and the Content therein and acknowledge that any use of or reliance on the Website is made entirely at his own risk. It is the User’s responsibility to make sure that Your use of the Website is legal in Your jurisdiction. We make no representation regarding its legality in Your country or jurisdiction.
10. Limitation of Liability.
    • Energix’s and its related parties and our and their respective shareholders, directors, officers, employees, or agents (collectively with Energix “Energix Parties”) shall not be liable for any direct, indirect, special, incidental, consequential or exemplary damage (even if such damage could have been reasonably foreseen) arising from the Website and/or the Content therein. Energix Parties’ entire liability and User’s exclusive remedy with respect to any dispute connected to the Website and/or the Content therein shall be limited to the amount paid by the User to Energix for such use (if at all).
    • These exclusions for direct, indirect, special, incidental, consequential or exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, computer failure or malfunction, or any other commercial damages or losses, even if Energix have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the minimum amount permitted by law.
11. Indemnification. User agrees to defend, indemnify, and hold harmless Energix Parties, from and against any and all, direct or indirect, claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), at Energix Party’s first demand, arising from: (i) User’s use of the Website and/or the Content; (ii) User’s violation of any the Terms; (iii) User’s breach of any third party right or applicable law.
12. Miscellaneous
    • The Terms constitute the complete agreement between the User and Energix regarding the use of the Website and the Content and replace any other understanding and/or consent, oral or written in connection thereto.
    • If a term of the Terms is found to be illegal, void or unenforceable for any reason, this term will be deleted from the Terms, and its deletion will not affect the legality and validity of the remaining Terms. In such a case, the existence of a similar condition will be seen as enforceable instead of the condition that has been deleted or removed.
    • Any Failure or delay to enforce any term or to exercise its rights by Energix, shall not be deemed as a waiver and/or consent or constitute a precedent.
    • The Terms do not create and will not be construed as creating any partnership, joint venture, employee-employer relationship between the User and Energix.
13. Governing Law and Jurisdiction. The courts of Tel-Aviv-Yafo, Israel shall have exclusive jurisdiction over any disputes hereunder. The Terms shall be interpreted exclusively in accordance with the laws of Israel without giving effect to any choice of law or conflict of law rules or provisions.
